General Terms of Sale

Sale of licenses for the PP2P ORVANE software — Version of 13 June 2026

This English translation is provided for information only; the French version is the legally binding reference.

Article 1 — Purpose and scope

These General Terms of Sale (hereinafter "GTS") govern the sale of licenses to use the PP2P ORVANE software (hereinafter the "Software") published by the company PP2P TECHNOLOGIES (hereinafter the "Publisher") to any legal entity or professional (hereinafter the "Customer") placing an order via the portal accessible at https://pp2p.io.

These GTS apply to relations between professionals (B2B). Any order implies unreserved acceptance of these GTS, which prevail over any other document of the Customer. Validating an order constitutes acceptance of these GTS.

Article 3 — Products and services

The Publisher markets licenses to use the PP2P ORVANE Software, a decentralized collaborative enterprise infrastructure. Licenses are offered in tiers according to the number of seats (users) authorized within the Customer's organization:

  • 15-seat edition
  • 30-seat edition
  • 50-seat edition
  • 100-seat edition — Sovereign Enterprise

A free 90-day trial period is available before any purchase, allowing the Customer to evaluate the Software.

The essential characteristics of each edition are described on the portal at the time of the order.

Article 4 — Prices

Prices are stated in euros on the portal at the time of the order. Unless otherwise stated, prices are exclusive of tax (excl. VAT); applicable VAT is added at the rate in force where appropriate.

Licenses are billed per organization and not per user, on an annual basis (365 days), unless a specific offer is mentioned at the time of the order.

The Publisher reserves the right to modify its prices at any time. The applicable prices are those in force on the day of the order. Customers benefiting from a frozen-price offer (e.g. the "Founding 50" program) retain their pricing schedule under the conditions specified at the time of subscription.

Article 5 — Order and payment

The order is placed online via the pp2p.io portal. The contract is formed upon confirmation of payment.

Payment is made by bank card or SEPA direct debit via the secure payment provider Stripe. The Publisher retains no banking data; such data is processed directly by Stripe in accordance with PCI-DSS security standards.

Payment is due immediately upon order. An invoice is issued and sent to the Customer electronically.

Article 6 — License of use

The Publisher grants the Customer, for the validity period of the license, a right to use the Software that is non-exclusive, non-assignable and non-transferable, limited to the number of seats subscribed and to the internal use of the Customer's organization.

Each license is cryptographically bound to the Customer's installation (installation identifier and root-of-trust fingerprint). It cannot be used on another installation nor resold.

The Customer shall refrain from copying, decompiling, disassembling, modifying or creating derivative works of the Software, except within the limits permitted by law.

Article 7 — Delivery

The Software and the license are supplied in digital form. Upon payment, the signed license is sent to the Customer by email and can be retrieved automatically from the Software's dashboard.

Delivery is deemed to have taken place as soon as the license is made available.

Article 8 — Right of withdrawal

As these GTS govern sales between professionals, the right of withdrawal provided for by the Consumer Code does not apply.

In any event, given the supply of immediately accessible digital content, the Customer acknowledges expressly waiving any right of withdrawal as soon as the license is made available. The free 90-day trial period allows the Customer to evaluate the Software before any commitment.

Article 9 — Term, renewal and termination

The license is granted for a term of one (1) year from its activation, unless a different term is indicated at the time of the order. Renewal is carried out by a new order; the terms of successive purchases are cumulative.

Upon expiry of a license that is not renewed, access to the functionalities is progressively restricted under the technical conditions of the Software. The Customer's data, hosted on its own infrastructure, remains in its possession.

Article 10 — Warranties and liability

The Software is provided "as is". The Publisher undertakes to exercise reasonable care for its proper functioning but does not guarantee that it will be free from errors, interruptions or incompatibilities, nor that it will be suited to a particular use not agreed upon. The integrated open source components are provided without warranty by their respective authors, in accordance with their licenses.

The Publisher's liability, for all causes combined, is limited to the amount actually paid by the Customer for the license concerned over the last twelve (12) months. The Publisher cannot be held liable for indirect damages (loss of data, of operations, of revenue or of reputation).

The Customer is responsible for backing up its data and for ensuring its use of the Software complies with applicable laws.

Article 11 — Intellectual property

The Software, its architecture, its code and its documentation remain the exclusive property of PP2P TECHNOLOGIES. The sale of a license confers no intellectual property right over the Software, but merely a right of use under the conditions of Article 6. The underlying technology is the subject of protection under industrial property rights.

The Software integrates open source components distributed under their respective licenses (notably MIT, Apache 2.0 and SIL OFL). The attributions and the texts of these licenses are provided with the Software in the "THIRD_PARTY_LICENSES" document. These components remain subject to their own licenses; nothing in these GTS restricts the rights that these licenses confer on the Customer.

Article 12 — Personal data

The processing of personal data in the context of the commercial relationship is described in the Privacy Policy. By virtue of its decentralized architecture, the Software does not route the Customer's business data through the Publisher's servers: the Customer retains control of its data.

Article 12 bis — Artificial intelligence features

The Software integrates artificial intelligence models operating locally. The responses, analyses or content generated by these models constitute an aid and do not replace human validation. The Publisher guarantees neither the accuracy, nor the completeness, nor the suitability for a particular use of the results produced by the AI. The Customer remains solely responsible for the decisions made on the basis of these results.

Article 13 — Force majeure

Neither party may be held liable for a failure to fulfill its obligations resulting from an event of force majeure within the meaning of Article 1218 of the Civil Code.

Article 14 — Applicable law and disputes

These GTS are subject to French law. In the event of a dispute, the parties shall endeavor to find an amicable solution. Failing that, the dispute shall be brought before the competent courts of the jurisdiction of the Publisher's registered office, unless a mandatory legal provision provides otherwise.
